        <p>In this article there is an analysis of institutional problem, which appear during the
building of the system of corporative management. Risks and mechanism of
corporative management were observed. The methods of the increase of effective
corporative management were described on the base of solving problems of
institutional characteristics, the main of which are agent ҆s problem and manager ҆s
opportunism. The specific options were used for increase quality of institutional area,
competiveness development, used effective motivation factors for managers, correct
management by elements of property rights.</p>
